Terms and Conditions
These Terms and Conditions govern access to the RWAValuator website, restricted valuation models, demonstrations, reports, and related materials provided by Vanward Global.
Effective: August 20, 20261. Acceptance of these terms
By accessing or using the website or any RWAValuator materials, you agree to these Terms and Conditions and the related Privacy Policy and Compliance disclosures. If you do not agree, do not use the website or materials.
2. Website and restricted services
The public website provides descriptive and educational information about RWAValuator. The valuation models, input environments, detailed methodologies, reports, and other restricted materials are not intended for public use and may be made available only to approved asset owners, authorized representatives, advisers, or institutional counterparties.
Access may be granted, conditioned, limited, suspended, or withdrawn at Vanward Global’s discretion.
3. Limited purpose of model outputs
The models are intended solely to provide an asset owner with a probability-based indication of an asset’s potential market acceptance and an indicative token-value range based on supplied evidence, stated assumptions, and the methodology version in effect at the evaluation date.
An output is not a determination of fair market value, realizable value, transaction price, public-market price, or the price at which any asset or token will trade, finance, sell, or be accepted by a counterparty.
4. No accuracy representation
Vanward Global makes no claim or representation that any website content, input, assumption, calculation, model, probability assessment, scenario, report, or output is accurate, complete, current, reliable, error-free, independently verified, or suitable for a particular purpose.
Outputs may be materially affected by incomplete, incorrect, stale, estimated, or disputed information; market conditions; legal or regulatory developments; methodology limitations; and matters that cannot reasonably be modeled.
5. No public or SEC valuation use
RWAValuator models and outputs are not designed, prepared, audited, or certified for public use, public dissemination, financial-statement reporting, regulatory capital, securities registration, investment-company fair-value determinations, or compliance with SEC valuation requirements, including Rule 2a-5 under the Investment Company Act of 1940.
No output may be represented as SEC-compliant, regulator-approved, a certified appraisal, or a substitute for a valuation required by law, regulation, accounting standard, offering document, exchange rule, fiduciary duty, or contractual obligation.
6. No professional advice, offer, or recommendation
Nothing provided constitutes investment, financial, legal, tax, accounting, appraisal, engineering, brokerage, underwriting, fiduciary, or other professional advice. Nothing is an offer, solicitation, recommendation, commitment, or promise to issue, buy, sell, finance, insure, tokenize, or transact in any asset or instrument.
Users must obtain independent advice from appropriately qualified professionals before relying on information in connection with any decision or transaction.
7. User-supplied information and responsibility
Users are solely responsible for the legality, provenance, accuracy, completeness, currency, and authorization of all information and materials they provide. Vanward Global may rely on supplied information without independently verifying it and may reject, suspend, or qualify an evaluation when evidence is incomplete or inconsistent.
You represent that you have the authority and necessary rights to provide all submitted information and that doing so does not violate confidentiality, privacy, intellectual-property, contractual, or legal obligations.
8. Permitted and prohibited use
Unless Vanward Global authorizes otherwise in writing, materials may be used only for the recipient’s internal evaluation of a potential asset engagement. You may not:
- publish, quote, market, resell, sublicense, distribute, or publicly rely on a restricted output;
- include an output in an offering document, investor communication, regulatory filing, audit support package, fairness opinion, or public valuation;
- remove qualifications, dates, assumptions, legends, or limitations;
- misrepresent an output as independent, certified, guaranteed, regulator-approved, or SEC-compliant; or
- probe, scrape, disrupt, reverse engineer, or attempt unauthorized access to the website, models, methodology, or systems.
9. Intellectual property and confidentiality
The website, models, methodologies, factor structures, reports, designs, software, graphics, and text are owned by or licensed to Vanward Global and are protected by applicable intellectual-property laws. RWAValuator™, OneRWA™, and Cachette™ are marks of Vanward Global.
Restricted methodology and model materials are confidential and proprietary. No license is granted except the limited right to use materials for an expressly authorized purpose.
10. Third-party information and services
The website and models may reference third-party evidence, standards, benchmarks, data, services, or websites. Vanward Global does not control and does not warrant third-party resources. References do not imply endorsement, affiliation, certification, or continuing availability.
11. Availability, changes, and termination
The website, access criteria, models, assumptions, interfaces, methodology, and materials may be corrected, changed, restricted, suspended, or discontinued at any time. Vanward Global may terminate access for misuse, risk, legal or compliance concerns, or breach of these terms.
12. Disclaimer of warranties
To the fullest extent permitted by applicable law, the website, models, reports, and materials are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including warranties of accuracy, merchantability, fitness for a particular purpose, title, non-infringement, availability, or results.
13. Limitation of liability
To the fullest extent permitted by applicable law, Vanward Global and its affiliates, officers, personnel, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunity, financing, transaction value, or anticipated savings arising from or related to the website, models, reports, or materials.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
14. General provisions and questions
If any provision is held unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These terms may be updated by posting a revised effective date.
