Compliance
This disclosure defines the intended use, regulatory boundaries, reliance limitations, and user responsibilities associated with RWAValuator and its restricted model outputs.
Effective: August 20, 20261. Compliance posture
This disclosure is a statement of product scope and limitations, not a representation that RWAValuator, Vanward Global, any methodology, or any output has been approved, endorsed, registered, audited, certified, or accepted by the SEC or any other regulator, standards body, exchange, rating agency, appraiser organization, or professional association.
2. Intended users and restricted access
The models are intended for approved asset owners and their authorized professional or institutional counterparties. Model access, detailed assumptions, and outputs are restricted and are not intended for general public use, retail-investor use, mass distribution, or anonymous self-service reliance.
3. Intended purpose
The sole intended purpose is to give an asset owner a probability-based indication of potential market acceptance and an indicative token-value range derived from the evidence, assumptions, risk factors, and methodology version applied. The output is decision support for preliminary evaluation and engagement planning.
It does not establish actual market demand, execution price, liquidity, bankability, insurability, collateral eligibility, accounting value, tax value, regulatory value, or transaction certainty.
4. No accuracy claim
No claim is made that an input, calculation, model, probability assessment, scenario, narrative, or output is accurate, complete, current, independently verified, predictive, or free from error. The model cannot account for every factual, legal, technical, operational, market, sovereign, counterparty, or behavioral variable.
A reproducible calculation means only that the same model version and inputs are intended to produce the same calculation. Reproducibility does not establish truth, accuracy, fairness, acceptance, or regulatory sufficiency.
5. Not an SEC valuation
RWAValuator models and outputs are not intended or represented to satisfy SEC requirements for asset valuation, investment-company fair-value determinations, securities registration, disclosure, reporting, custody, broker-dealer, investment-adviser, exchange, or other regulated purposes. They are not designed as determinations under SEC Rule 2a-5 or as substitutes for board oversight, valuation designees, required testing, recordkeeping, reporting, or independent professional work.
No user may describe or submit an output as SEC-compliant, regulator-approved, or suitable for a filing or regulated valuation requirement.
6. Not a public valuation or appraisal
An output is not a public valuation, certified appraisal, appraisal review, fairness opinion, solvency opinion, reserve report, audit opinion, financial statement, offering valuation, credit decision, or substitute for work required from a licensed or credentialed professional.
Where independent appraisals, engineering reports, reserve certifications, title records, or other qualified evidence are used, RWAValuator consumes and structures that evidence; it does not replace or re-certify the underlying professional work.
7. No advice, classification, or transaction authorization
RWAValuator does not provide legal, securities, investment, tax, accounting, engineering, appraisal, brokerage, underwriting, fiduciary, or regulatory advice. It does not determine whether an asset, token, instrument, offering, or transaction is lawful, exempt, registered, a security, a commodity, or otherwise classified.
Legal and regulatory classification must be determined for each engagement by qualified counsel and other responsible professionals.
8. Evidence and user accountability
The asset owner and submitting parties remain accountable for evidence ownership, authorization, provenance, completeness, currency, consistency, and accuracy. They must disclose material limitations, disputes, liens, encumbrances, title defects, restrictions, contingent obligations, and other facts that could affect an assessment.
Vanward Global may decline, qualify, pause, or withdraw an evaluation when evidence, authorization, intended use, or compliance posture is insufficient.
9. Independent review and reliance
Before any transaction, offering, financing, token issuance, accounting treatment, public statement, or regulatory submission, users must obtain independent review from qualified legal, financial, tax, accounting, appraisal, engineering, compliance, and other advisers appropriate to the asset and jurisdiction.
No third party is entitled to rely on an output unless Vanward Global expressly authorizes that reliance in writing and the output identifies the permitted recipient, purpose, scope, assumptions, and limitations.
10. Financial crime and integrity controls
Access or engagement may be conditioned on identity, authority, ownership, sanctions, anti-money-laundering, anti-bribery, source-of-funds, conflicts, reputational-risk, or other checks appropriate to the circumstances. This does not mean that Vanward Global performs every regulated compliance function or assumes a user’s compliance obligations.
Users may not use RWAValuator to conceal ownership, evade law or sanctions, mislead counterparties, manipulate a market, facilitate unlawful proceeds, or support fraudulent or deceptive conduct.
11. Publication and external communication controls
Restricted outputs may not be published, excerpted, quoted, marketed, posted, redistributed, incorporated into offering or investor materials, or communicated as a public valuation without prior written authorization and appropriate independent review. All approved uses must preserve the valuation date, methodology version, assumptions, qualifications, and limitations.
12. Methodology governance
Methodologies, factors, calibrations, bounds, and output formats may change as evidence standards, market practices, risks, or legal frameworks evolve. A model version applies only as of its stated date. Historic and current outputs may not be directly comparable, and no update obligation is assumed unless expressly agreed.
13. Third-party standards and marks
References to laws, standards, benchmark publishers, exchanges, rating agencies, professional bodies, and other organizations identify relevant frameworks only. They do not imply affiliation, endorsement, certification, approval, or validation of RWAValuator or any output.
14. Compliance questions and concerns
Questions, suspected misuse, conflicts, or compliance concerns may be reported to info@vanward.global. Reports should identify the relevant output or engagement without sending sensitive or confidential materials through unsecured email.
